Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by Zollback, Inc. ("Zollback," "we," "us," or "our"), including our website at www.zollback.com, platform, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and authorized to bind the entity on whose behalf you are using the Service. By using the Service, you represent that you meet these requirements.

2. Description of Service

Zollback provides an AI-powered platform that helps U.S. importers and exporters identify, calculate, and file duty drawback claims with U.S. Customs and Border Protection (CBP). Our services include:

  • Automated document processing and data extraction
  • Algorithmic optimization of drawback claims
  • Electronic filing with CBP via certified ABI software
  • Claim tracking and reporting dashboards

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate and complete information
  • Keep your login credentials confidential
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activity under your account

4. Fees and Payment

Zollback operates on a performance-based pricing model. You are only charged a percentage of the duty drawback refund we successfully recover on your behalf. Specific fee structures are outlined in your service agreement.

  • No upfront fees or subscription charges
  • Fees are deducted from recovered refunds
  • If no refund is recovered, you owe nothing

5. Your Data

5.1 Ownership

You retain all ownership rights to the data and documents you upload to the Service ("Your Data"). Zollback does not claim ownership of Your Data.

5.2 License

By uploading Your Data, you grant Zollback a limited, non-exclusive license to process, store, and transmit Your Data solely for the purpose of providing the Service.

5.3 Security

We implement industry-standard security measures, including encryption in transit (TLS 1.2+) and at rest (AES-256), role-based access controls, and regular security audits. Zollback is SOC 2 Type 1 certified.

6. Intellectual Property

All intellectual property rights in the Service (including software, algorithms, designs, and documentation) are owned by Zollback. These Terms do not grant you any rights to use Zollback's trademarks, logos, or brand features without prior written consent.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Upload false, misleading, or fraudulent data
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Access the Service through automated means (bots, scrapers) without authorization

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZOLLBACK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Zollback does not guarantee that:

  • Any specific refund amount will be recovered
  • CBP will approve any particular claim
  • The Service will be uninterrupted or error-free

Duty drawback claims are subject to CBP review and approval. Refund amounts and timelines may vary.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZOLLBACK'S TOTAL LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU TO ZOLLBACK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL ZOLLBACK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. Indemnification

You agree to indemnify and hold harmless Zollback and its officers, directors, employees, and agents from any claims, losses, or damages arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • The accuracy and completeness of Your Data

11. Termination

Either party may terminate these Terms at any time with 30 days' written notice. Zollback may suspend or terminate your access immediately if you breach these Terms.

Upon termination:

  • Your right to use the Service ceases immediately
  • Zollback will complete any pending claims already filed with CBP
  • You may request export of Your Data within 30 days of termination

12. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in San Francisco County, California.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Effective Date" above. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
